Abrams & Bayliss is a corporate, business and fiduciary law boutique focusing on high stakes litigation and transactional advice where there is a substantial risk of litigation or complex issues of Delaware law.
In 2005, Kevin G. Abrams and J. Travis Laster founded the firm, then known as Abrams & Laster LLP, after more than thirty years combined experience at Delaware?s largest law firm. Kevin and Travis formed the new firm to create a more specialized and focused platform that would have greater flexibility to represent a wide range of clients in both offensive and defensive roles. In September 2009, Travis left the firm to become a Vice Chancellor of the Delaware Court of Chancery, the nation?s preeminent business court. Immediately prior to Travis? departure, A. Thompson Bayliss and John M. Seaman became partners of the firm, which was renamed Abrams & Bayliss LLP.
Abrams & Bayliss has extensive experience representing corporations, stockholders, directors, and executives in a wide range of litigation and transactions. We also have extensive experience with other business entities, including partnerships, limited partnerships, and limited liability companies, as well as with trust litigation involving novel questions of Delaware law. We have particular depth and experience in control contests, business transactions and contract disputes, and complex valuation disputes. The firm?s economic success allows us to structure hourly, contingent or alternative fee arrangements that are suitable for the goals of each engagement.
Many of the most prominent and prestigious law firms and practitioners in the world rely on Abrams & Bayliss for Delaware law advice. Many business entities, both public and private, similarly look to our team regarding Delaware law issues. We typically will accept a matter only if it involves a significant and substantive role for our firm. Abrams & Bayliss routinely works in partnership with our co-counsel to accomplish client goals efficiently and effectively. We also regularly take on lead roles in litigation and transactional matters. We are happy to provide references upon request.
