Job Overview:

A prestigious law firm in New York City is seeking a highly qualified Associate Attorney with 3-6 years of corporate experience in renewable energy development, project finance, and mergers and acquisitions transactions. The ideal candidate will have a strong background in representing developers, lenders, sponsors, and tax equity investors.

Duties:

  • Represent clients in renewable energy development, project finance, and mergers and acquisitions transactions.
  • Review, draft, and negotiate project contracts, including O&M agreements, EPC contracts, management agreements, offtake contracts, purchase and sale agreements, and tax equity financing agreements.
  • Provide legal counsel and support for general corporate matters.
  • Conduct legal research and analysis to support ongoing cases and transactions.
  • Collaborate with clients and internal teams to ensure legal compliance and effective deal execution.
  • Attend client meetings, negotiations, and other legal proceedings as required.
  • Stay updated on relevant legal developments, industry trends, and regulatory changes.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the New York State Bar.
  • 3-6 years of corporate legal experience, focusing on renewable energy development, project finance, and mergers and acquisitions.
  • Proven experience in reviewing, drafting, and negotiating various project contracts and agreements.
  • Strong understanding of general corporate law and related regulations.
  • Excellent research, analytical, and problem-solving skills.
  • Exceptional communication and negotiation skills.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
