Job Overview:
A well-established law firm is seeking a highly motivated Corporate M&A Associate with 3-6 years of experience to join their Dallas, TX office. This position offers the opportunity to work with a dynamic and nationally recognized corporate practice group, handling complex M&A transactions, capital raises, and debt and securities offerings. The ideal candidate will have experience in private equity, portfolio companies, and M&A documentation, along with the ability to work collaboratively and contribute to the firm’s high-performing culture.

Location:

  • Dallas, Texas

Duties:

  • Advise private equity funds, independent sponsors, and portfolio companies on M&A transactions, capital raises, and securities offerings
  • Draft and negotiate key transaction documents, including operating and partnership agreements
  • Attend to the day-to-day legal needs of portfolio companies
  • Conduct legal research and due diligence on M&A deals
  • Provide counsel on complex corporate matters and regulatory issues
  • Work closely with senior attorneys and clients to navigate strategic transactions
  • Participate in business development activities and build client relationships

Requirements:

  • 3-6 years of experience in corporate law, with a focus on M&A
  • Experience working with private equity funds and portfolio companies
  • Strong background in drafting and negotiating M&A transaction documents
  • Proficiency in capital raises and securities offerings
  • Ability to work in a fast-paced, team-oriented environment
  • Detail-oriented, proactive, and client-focused approach
  • Admitted to the Texas Bar

Education:

  • Juris Doctor (JD) from an accredited law school

Certifications:

  • Admitted to the Texas Bar

Skills:

  • Expertise in mergers and acquisitions, including private equity transactions
