A law firm in Houston, TX, is seeking an experienced and highly skilled Mid-/Senior-level Finance Attorney with 4-6 years of experience to join their finance practice group. The ideal candidate will have substantial experience representing commercial bank and private credit lenders, private equity firms, corporate borrowers, and investors in various debt financing and hybrid investment transactions. This includes senior-secured, junior-secured, mezzanine loans, acquisition financings, and other structured financings and investments.

Duties:

  • Represent commercial bank lenders, private credit lenders, private equity firms, corporate borrowers, and investors in complex financing and investment transactions.
  • Advise on and manage debt financing matters, including senior-secured, junior-secured, and mezzanine loans.
  • Lead acquisition financings and structured finance deals, ensuring alignment with client objectives.
  • Draft, negotiate, and review loan agreements, security agreements, intercreditor agreements, and other related financial documentation.
  • Provide strategic legal counsel on structured financings and hybrid investment transactions.
  • Collaborate with clients, internal teams, and other stakeholders to structure and close complex financial deals.
  • Conduct thorough due diligence, risk assessment, and compliance checks on transactions.
  • Stay informed on industry trends, legal developments, and financial regulations that may impact clients.

Requirements:

  • 4-6 years of experience as a finance attorney, with expertise in debt financing and hybrid investment transactions.
  • Proven track record of representing commercial bank and private credit lenders, private equity, and corporate borrowers.
  • Extensive experience with senior-secured, junior-secured, and mezzanine loans, as well as acquisition financings.
  • Strong legal drafting, research, and negotiation skills.
  • Ability to manage multiple complex transactions and meet deadlines.
  • Exceptional client service and communication skills, both written and verbal.
  • Strong analytical and problem-solving abilities.

Education:

  • JD from an ABA-accredited law school.
  • Excellent academic credentials.

Certifications:

  • Licensed to practice law in the state of Texas, or eligible for admission.

Skills:

  • Expertise in debt financing and structured investment transactions.
  • Proficiency in drafting and negotiating loan agreements, security agreements, and other related financial documents.
  • Strong organizational and project management skills.
  • Ability to work independently while also being an effective team player.
  • Knowledge of finance industry trends, regulatory frameworks, and emerging legal developments in finance law.

Experience:

  • 4-6 years of relevant experience in finance law, with a focus on representing lenders and borrowers in debt financing transactions.
  • Demonstrated success in handling structured financings, senior and junior-secured loans, and acquisition financings.
