A law firm based in Chicago is seeking an M&A and Private Equity Associate Attorney with 4+ years of experience. The ideal candidate will have substantial experience leading private equity and leveraged buyout transactions. This role involves drafting and negotiating acquisition agreements, supervising and training junior associates, and coordinating with legal specialists on the deal team. Candidates must be admitted or eligible for prompt admission to the Illinois Bar.

Duties and Responsibilities:

  • Draft and negotiate acquisition agreements, including purchase agreements, shareholder agreements, and related transaction documents.
  • Take a lead role in private equity transactions and leveraged buyouts, managing all aspects of the deal process.
  • Supervise and mentor junior associates, providing guidance and support on complex legal issues.
  • Coordinate with legal specialists and other professionals on the deal team to ensure seamless execution of transactions.
  • Conduct due diligence and analyze legal risks associated with M&A and private equity deals.
  • Develop and implement strategies for negotiating and closing transactions.
  • Prepare and review transaction-related documents, including legal opinions and closing papers.
  • Stay informed about developments in M&A and private equity law and market trends.

Requirements:

  • 4+ years of experience in M&A and private equity, with a proven track record of leading transactions.
  • Experience with leveraged buyouts and complex private equity deals.
  • Strong skills in drafting and negotiating acquisition agreements.
  • Experience supervising and training junior associates.
  • Ability to coordinate with various specialists and manage deal teams effectively.
  • Admission to the Illinois Bar or eligibility for prompt admission.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the Illinois Bar (or eligibility for prompt admission).
