A law firm in Palo Alto, CA, is seeking a Mid-level Associate Attorney specializing in Corporate and Business Transactions, with a focus on Capital Markets and Public Companies. The ideal candidate will have significant experience advising publicly traded companies on securities offerings (debt and equity), federal securities laws, stock exchange regulations, Sarbanes Oxley Act, Dodd-Frank Act compliance, and corporate governance matters.

 

Duties and Responsibilities:

  • Advise clients on a wide range of capital markets transactions, including public and private offerings of equity and debt securities.
  • Draft and review securities filings, including Form S-1, S-3, S-4, and 10-K filings.
  • Assist with compliance under federal securities laws, stock exchange rules, and regulations.
  • Provide counsel on corporate governance best practices and compliance issues.
  • Conduct due diligence and manage disclosure schedules in transactional matters.
  • Collaborate with senior attorneys and clients on strategic transactions and corporate initiatives.

 

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the California Bar or eligibility for Registered In-House Counsel status in California.
  • 3-6 years of experience in a large law firm environment, focusing on capital markets, securities law, and public company representation.
  • Strong understanding of SEC regulations, including the Securities Act of 1933 and the Securities Exchange Act of 1934.
  • Proven ability to manage complex legal matters independently and as part of a team.
  • Excellent drafting, analytical, and communication skills.

 

Preferred Skills:

  • Experience advising technology or life sciences companies is a plus.
  • Familiarity with M&A transactions and corporate finance.
  • Ability to thrive in a fast-paced, dynamic legal environment.
