Key Responsibilities:

  • Advise clients on a wide range of M&A transactions, including mergers, acquisitions, divestitures, joint ventures, and private equity deals.
  • Draft, negotiate, and review complex transaction agreements, including purchase agreements, shareholder agreements, and related documentation.
  • Conduct and coordinate due diligence investigations, identify key risks, and provide actionable recommendations to clients.
  • Collaborate with internal teams across various practice areas (tax, finance, regulatory) to ensure seamless deal execution.
  • Assist private equity clients with portfolio company acquisitions, recapitalizations, and exits.
  • Guide clients on deal structuring, transaction strategies, and post-closing integration issues.
  • Serve as the primary point of contact for clients, managing relationships and ensuring client satisfaction throughout the transaction process.
  • Stay informed of industry trends, regulatory changes, and best practices impacting M&A and private equity transactions.
  • Support business development initiatives by participating in client pitches thought leadership activities, and networking events.
  • Mentor and guide junior associates and legal staff.


Requirements:

  • 3 years of law firm experience focused on mergers and acquisitions.
  • Proven ability to manage complex M&A transactions from start to finish.
  • Strong knowledge of corporate governance, securities law, and deal structuring.
  • Exceptional drafting and negotiation skills with attention to detail and precision in legal documentation.
  • Excellent analytical, research, and problem-solving abilities, with a strategic approach to legal issues.
  • Ability to manage multiple high-priority matters simultaneously in a deadline-driven environment.
  • Superior verbal, written, and interpersonal communication skills.
  • Strong client relationship management skills, with the ability to build and maintain lasting client partnerships.
  • Active membership in good standing with the State Bar (or eligibility for admission).


Education and Certifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the State Bar is required.
