Job Overview:

A distinguished law firm is seeking a highly qualified Employee Benefits and Executive Compensation Associate to join its legal team. This role involves advising clients on a wide range of employee benefits and executive compensation matters, including retirement plans, welfare plans, equity compensation, incentive arrangements, and benefits in mergers and acquisitions. The ideal candidate will have strong analytical skills, excellent communication abilities, and a detail-oriented approach to legal practice.

Location:

  • Raleigh, NC

Duties:

  • Advise clients on retirement plan administration, including error corrections, IRS and DOL audits, and preparation of plan amendments, restatements, and summary plan descriptions

  • Provide guidance on welfare plans, COBRA obligations, and ACA compliance, as well as prepare ERISA wrap documents and summary plan descriptions

  • Draft and review equity compensation plans, including stock options and similar equity-based awards, with attention to tax implications under Section 409A

  • Develop annual and long-term incentive arrangements for executives and employees

  • Conduct due diligence and prepare disclosure schedules, resolutions, and plan amendments in the context of mergers and acquisitions

  • Assist with executive employment agreements, severance arrangements, and related tax issues, including Sections 409A and 280G compliance

Requirements:

  • 3 to 5 years of experience in employee benefits and executive compensation law, preferably in a large law firm setting

  • Strong knowledge of ERISA, IRS, and DOL regulations

  • Experience working independently while collaborating effectively as part of a legal team

  • Excellent research, writing, and communication skills

  • Exceptional project management and organizational abilities

Education:

  • Juris Doctor (JD) degree from an accredited law school

  • Strong academic credentials required

Certifications:

  • Active bar membership in at least one U.S. jurisdiction (North Carolina bar admission preferred or willingness to obtain)

Skills:

  • Expertise in retirement and welfare plan compliance, equity compensation, and executive incentive arrangements

  • Strong drafting and negotiation skills for legal documents related to employee benefits and executive compensation

  • Ability to handle complex regulatory matters and provide strategic legal advice

  • Detail-oriented approach with the ability to manage multiple client matters efficiently
