A law firm in Charlotte is seeking an experienced Corporate Counsel with over 7 years of corporate transactional experience. The candidate will represent public and privately owned companies in various business matters, including commercial contract issues, mergers and acquisitions, and corporate governance. This role requires strong business acumen, excellent communication skills, and the ability to provide pragmatic legal counsel in a team-oriented environment.

Job Duties:

  • Represent public and privately owned companies in commercial contract matters, mergers and acquisitions (M&A), and corporate governance.
  • Review, draft, and negotiate principal and ancillary supply, purchase, service, transportation, and related agreements for commercial transactions.
  • Provide pragmatic legal counsel to clients on a wide range of corporate and commercial projects.
  • Maintain extensive client contact, delivering practical and strategic legal advice.
  • Collaborate with senior attorneys and partners on complex transactions and corporate matters.
  • Conduct legal research and stay current on industry trends and regulatory changes.
  • Assist in developing and implementing policies and procedures to ensure compliance with applicable laws and regulations.

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active membership in the North Carolina State Bar or ability to waive in promptly.
  • A minimum of 7 years of corporate transactional experience, with a focus on M&A and commercial contract matters.
  • Strong business background with the ability to grasp business concepts quickly.
  • Excellent written and verbal communication skills.
  • Ability to ask questions, learn quickly, and adapt to new challenges.
  • Desire to work in a team-oriented environment.
  • Strong organizational skills and attention to detail.

Preferred Skills:

  • Experience with corporate governance and regulatory compliance.
  • Ability to manage multiple projects and prioritize tasks effectively.
  • Strong analytical and problem-solving skills.
  • Demonstrated ability to work independently and collaboratively.

Certifications:

  • Admission to the North Carolina State Bar or ability to waive in promptly.
