Job Title: Investment Funds Associate Attorney

Job Overview: A prestigious law firm in Chicago, IL, is seeking an Investment Funds Associate Attorney with 2-4 years of fund formation experience to join a dynamic team. This role involves providing guidance on forming, structuring, operating, and regulating private investment funds, and working closely with clients and colleagues in a collaborative and supportive environment. Duties:

  • Advise clients on forming, structuring, operating, and financing various private investment funds, including private equity, hedge funds, credit, venture, and crypto-focused funds.
  • Draft, revise, and negotiate fund-related legal documents.
  • Oversee and coordinate all aspects of fund launches and closings.
  • Assist with ongoing federal and state regulatory filings and compliance obligations for Registered Investment Advisers (RIAs) and exempt reporting advisers.

Requirements:

  • 2-4 years of experience in fund formation.
  • Strong understanding and familiarity with the Investment Advisers Act of 1940, the Securities Act of 1933, and the Securities Exchange Act of 1934.
  • Exceptional research, writing, and analytical skills.
  • Effective communication and interpersonal abilities.
  • Ability to work independently while also collaborating effectively in a team setting.
  • Must be licensed to practice law and in good standing with the Illinois Bar.

Education:

  • JD from an accredited law school with top academic credentials.

Certifications:

  • Must be admitted to the Illinois Bar.

Skills:

  • Proficiency in fund formation and regulatory compliance.
  • Excellent legal drafting and document negotiation skills.
  • Ability to manage multiple projects and meet deadlines.
  • Strong organizational and problem-solving abilities.
