Job Overview: A law firm seeks a Mid-level Associate Attorney to join the Corporate - Capital Markets and Public Companies practice. The ideal candidate will have large law firm experience, excellent academic credentials, and relevant expertise in advising publicly traded companies on securities offerings, federal securities laws, stock exchange regulations, Sarbanes-Oxley Act, Dodd-Frank Act compliance matters, and corporate governance issues. New York Bar membership is desired for this position.

Duties and Responsibilities:

  • Provide legal counsel and strategic advice to publicly traded companies in the areas of securities offerings (debt and equity), federal securities laws, and corporate governance matters.
  • Conduct thorough legal research and analysis on regulatory and compliance issues related to the Sarbanes-Oxley Act and Dodd-Frank Act.
  • Assist in drafting and reviewing legal documents, including prospectuses, offering memoranda, and corporate governance policies.
  • Collaborate with internal teams and external stakeholders to ensure compliance with stock exchange regulations and reporting requirements.
  • Represent clients in negotiations, meetings, and transactions related to capital markets and public companies.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active license to practice law in the relevant jurisdiction.
  • Mid-level associate attorney experience, preferably in a large law firm setting.
  • Proven experience in advising publicly traded companies on securities offerings, federal securities laws, and corporate governance matters.
  • Membership in the New York Bar is desired.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Skills:

  • Strong legal research and analytical skills.
  • Excellent written and verbal communication abilities.
  • Ability to work collaboratively in a team-oriented environment.
  • Detail-oriented with strong organizational and time-management skills.
  • Familiarity with stock exchange regulations and compliance requirements.
