Job Title: Energy Project Finance Attorney

Job Overview

A law firm based in Menlo Park, CA is currently seeking two experienced attorneys to join its energy project finance group with a focus on debt finance and the other on tax equity and M&A transactions. This opportunity offers the chance to work on high-impact energy transactions involving the development, acquisition, and financing of renewable energy assets. Successful candidates will take on meaningful client-facing responsibilities and provide strategic counsel in a fast-evolving and innovative industry sector.

Duties

  • Advise stakeholders on complex project finance transactions within the renewable energy sector

  • Draft and negotiate key finance documents for debt or equity arrangements

  • Represent sponsors, lenders, and investors in construction, term loan, tax equity, or M&A deal structures

  • Oversee due diligence and documentation related to energy infrastructure projects

  • Collaborate with cross-functional legal teams and provide mentorship to junior attorneys

  • Engage directly with clients, financial institutions, and project developers throughout the transaction lifecycle

  • Review and negotiate project contracts such as EPC Agreements, Offtake Agreements, and O&M Agreements

Requirements

  • Minimum of 5 years of experience handling energy project finance transactions

  • Background in either:

    • Debt finance: including construction/term loans, equipment financing, and secured lending documents

    • Tax equity and/or M&A: including equity investments, partnership agreements, joint ventures, and portfolio acquisitions

  • Familiarity with legal agreements tied to project development and operations

  • Strong leadership, communication, and organizational capabilities

  • Demonstrated ability to manage deal flow independently and collaborate effectively with internal and external teams

Education

  • Juris Doctor (JD) degree from a highly ranked law school

Certifications

  • Active membership in the California Bar (or eligibility to waive in)

Skills

  • In-depth understanding of renewable energy finance structures and risk allocation

  • Precision in drafting and negotiating complex legal instruments

  • Client management and cross-functional collaboration

  • Analytical acumen and commercial judgment

  • Experience supervising junior team members

  • Capable of managing multiple transactions simultaneously
