A law firm seeks an experienced Of Counsel - Transactional Franchise Attorney to join its practice in Washington, DC, with options for remote work. This role is ideal for an attorney with substantial experience in U.S. franchising regulations, capable of drafting franchise agreements and managing regulatory filings. The position involves providing counsel on complex franchise-related transactions for both domestic and international clients.

Duties:

  • Draft and review franchise agreements, franchise disclosure documents, and regulatory filings.
  • Advise on complex business transactions in the franchise and distribution sectors.
  • Counsel clients on compliance with U.S. franchising laws, catering to both domestic and international considerations.
  • Collaborate with a team of attorneys on franchise litigation and transactional matters.
  • Serve a diverse portfolio of clients, including start-up franchisors, established franchise corporations, private equity firms, and international companies expanding into the U.S. market.

Requirements:

  • Minimum of 8 years’ experience in transactional franchise law.
  • In-depth knowledge of U.S. franchising regulations, with additional international franchise or M&A experience preferred.
  • Admission to practice law in Washington, DC, or eligibility for admission via waiver.
  • Strong analytical, drafting, and writing abilities.
  • Ability to work independently and within a collaborative team setting.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Active membership in good standing with the Washington, DC State Bar or eligibility for admission.
