A law firm seeks an experienced associate attorney for its Registered Funds practice within the Investment Funds Group. Located in Washington, D.C., this position offers an exciting opportunity to work with clients across a variety of asset classes, advising on the formation and structuring of open-end funds (including ETFs), closed-end funds, and business development companies (BDCs). The ideal candidate will have 3-6 years of experience in the investment funds sector, specializing in both public and private equity, fixed income, real estate, and infrastructure. Duties:

  • Advise clients on the formation and structuring of open-end and closed-end investment funds, including ETFs, interval/tender offer funds, and other fund types.
  • Guide the creation and operation of Business Development Companies (BDCs), covering regulatory, operational, and reporting matters for private, non-traded, and publicly traded BDCs.
  • Counsel on capital markets transactions, including underwriting representations, and support clients through complex legal and regulatory issues.
  • Assist with governance-related compliance and regulatory matters affecting registered funds and BDCs.
  • Collaborate with colleagues and clients to develop innovative legal strategies in the investment funds and BDCs sectors.

Requirements:

  • 3-6 years of experience in a recognized investment funds practice, with a focus on registered funds and BDCs.
  • Expertise in the formation, structuring, and ongoing advising of open-end and closed-end funds, including ETFs and other alternative funds.
  • Experience advising on BDC matters, with a focus on operational and reporting issues for various types of BDCs (private, non-traded, and publicly traded).
  • Familiarity with capital markets and underwriting transactions.
  • Strong understanding of governance and regulatory compliance issues related to registered funds and BDCs.
  • Ability to analyze complex legal issues and provide clear, practical advice to clients.
  • Proven ability to work collaboratively in a team and handle multiple projects simultaneously.

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Strong academic credentials.

Certifications:

  • Admission to the relevant state bar or eligibility to gain admission promptly (including Massachusetts or the District of Columbia).

Skills:

  • Outstanding analytical skills and attention to detail.
  • Exceptional written and verbal communication abilities.
  • Ability to navigate complex regulatory environments.
