A law firm seeks an experienced attorney to join its growing Investment Funds practice in Chicago. This is a unique opportunity for an associate with 2-6 years of corporate experience to advise fund sponsors on the formation, structuring, and management of investment funds. The successful candidate will work with a highly sophisticated team that provides cutting-edge legal solutions for investment funds and their sponsors, leveraging market intelligence to deliver value in today’s rapidly evolving market.

Duties:

  • Represent fund sponsors in the creation, structuring, and operation of investment funds.
  • Provide legal counsel on the regulatory and operational aspects of fund formation and governance.
  • Advise clients on complex transactional matters related to investment funds, including investment strategies, investor relations, and fund structures.
  • Draft and negotiate key fund formation documents, including partnership agreements, subscription agreements, and offering memoranda.
  • Offer strategic insights on market trends and help shape fund strategy and structure to meet clients' goals.
  • Work closely with senior attorneys and clients to ensure compliance with relevant laws and regulations.
  • Collaborate with other practice groups to provide comprehensive services, including tax, securities, and regulatory guidance.

Requirements:

  • 2-6 years of corporate law experience, preferably in investment funds or related fields.
  • Strong experience in representing fund sponsors on fund formation, structuring, and operational issues.
  • Proven ability to handle complex, multi-faceted transactions in a fast-paced environment.
  • Knowledge of investment fund structures, including private equity, hedge funds, and venture capital funds.
  • Exceptional communication skills and the ability to manage client relationships effectively.
  • Detail-oriented with strong analytical and problem-solving abilities.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Strong academic performance and a demonstrated commitment to excellence.

Certifications:

  • Admission to practice law in Illinois, or eligibility to become admitted.

Skills:

  • Expertise in fund formation, structuring, and management.
  • Knowledge of securities regulations, investment laws, and corporate governance.
  • Strong drafting, negotiation, and client-facing skills.
  • Excellent analytical skills and attention to detail.
  • Ability to work collaboratively in a team-oriented environment while managing multiple projects.
  • Proficiency in legal research and due diligence.
