A prominent law firm in Sacramento is seeking a full-time Tax/Corporate Associate Attorney with 4+ years of experience in transactional tax planning. The ideal candidate will have expertise in corporate and business transactions, including mergers and acquisitions, purchases and sales, financing arrangements, entity restructurings, and complex commercial agreements. This position offers an opportunity to work on diverse corporate matters for a wide range of clients and industries.

Duties:

  • Provide transactional tax planning services for corporate and business transactions.
  • Advise on mergers and acquisitions, purchases and sales, and financing arrangements.
  • Handle entity restructurings and complex commercial agreements.
  • Conduct in-depth legal research and draft high-quality legal documents.
  • Collaborate with other attorneys in various practice areas, such as real estate, employment, intellectual property, and tax planning.
  • Represent clients in business mergers, acquisitions, reorganizations, and sales, both as buyers and sellers.

Requirements:

  • Minimum of 4 years of experience in transactional tax planning.
  • Experience in corporate and business transactions, including mergers and acquisitions and entity restructurings.
  • Exceptional research, writing, and analytical skills.
  • Ability to manage complex commercial agreements and provide legal guidance for tax-related matters.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Admission to the California State Bar (preferred).

Skills:

  • Strong legal research and writing abilities.
  • Excellent analytical and problem-solving skills.
  • Ability to work independently and as part of a collaborative legal team.
  • Strong attention to detail and organizational skills.
