Duties:

  • Advise clients on mergers, acquisitions, and private equity transactions.
  • Draft, review, and negotiate complex legal documents, including term sheets, purchase agreements, and disclosure schedules.
  • Conduct due diligence and coordinate with clients, opposing counsel, and other stakeholders.
  • Provide strategic legal counsel and risk assessments throughout the transaction process.
  • Assist in structuring and executing transactions to ensure compliance with relevant laws and regulations.
  • Research and stay current on legal developments in M&A and private equity.
  • Collaborate with senior attorneys and partners to develop strategies and solutions for client matters.
  • Mentor and guide junior attorneys and support staff as needed.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the State Bar of California.
  • 4-7 years of experience specializing in M&A and private equity transactions.
  • Demonstrated experience in handling complex transactions and negotiations.
  • Proven track record of providing high-quality legal advice and client service.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Admission to the State Bar of California.
