Job Title: Private Equity Attorney

Job Overview
A prominent law firm in Denver, CO is seeking an experienced Private Equity Attorney with 4-5 years of relevant experience. This role involves providing legal support for private equity and mergers and acquisitions (M&A) transactions, including drafting and negotiating a variety of legal agreements and serving as a trusted advisor to clients. The candidate will work in a collaborative, team-oriented environment and help drive strategic outcomes for clients in the private equity sector.

Duties

  • Draft, review, and negotiate private equity and M&A transaction documents, including purchase agreements, LLC and LP agreements, and other ancillary legal agreements.
  • Advise clients on day-to-day matters for private equity funds and portfolio companies.
  • Collaborate with client business teams to ensure legal strategies align with their broader business objectives.
  • Lead deal teams and coordinate efforts across multiple legal and business departments to ensure smooth transaction execution.
  • Provide comprehensive legal support and guidance throughout the lifecycle of private equity deals, from initial structuring to closing.
  • Assist in risk management by identifying and mitigating legal risks associated with transactions.

Requirements

  • Minimum of 4-5 years of experience in private equity and mergers & acquisitions.
  • Demonstrated experience in drafting and negotiating key legal agreements.
  • Strong business acumen and ability to provide strategic legal advice.
  • Prior experience working in a large law firm environment.

Education

  • Juris Doctor (JD) degree from an accredited law school.
  • Strong academic credentials are required.

Certifications

  • Admission to the State Bar in Colorado or eligibility to waive in.
