A law firm seeks a motivated and skilled Transactional Attorney to join its team in Irvine, CA. This full-time position is ideal for candidates with 2 to 4 years of experience in transactional law, particularly in real estate and corporate transactions.

Duties

  • Draft and prepare a variety of transactional documents, including real estate agreements, membership interest or stock transfer agreements, purchase and sales agreements, operating agreements, confidentiality agreements, letters of intent, and more.
  • Prepare documentation related to mergers, acquisitions, and organizational restructures.
  • Conduct due diligence for financing transactions, mergers, and acquisitions.
  • Manage entity formation, joint ventures, compliance, and maintenance of legal records.
  • Negotiate, draft, review, and revise contracts, amendments, and responses to requests for proposals.
  • Maintain comprehensive knowledge of the firm’s legal documents and operations, including articles of incorporation and by-laws.
  • Provide legal counsel on compliance with relevant regulations, laws, and policies while identifying potential legal and business risks.

Requirements

  • Juris Doctor (JD) from an ABA-accredited law school.
  • 2 to 4 years of experience in real estate transactions and corporate law.
  • Excellent negotiation skills and proficiency in contract drafting.
  • Strong written and verbal communication abilities.
  • A dedicated work ethic with a commitment to high performance.
  • Capability to thrive in a fast-paced environment, with the ability to proactively identify, prioritize, and resolve issues.

Education

  • Juris Doctor (JD) from an accredited law school.

Certifications

  • Active membership in the state bar.
