A law firm in Atlanta is seeking a highly skilled Technology Transactions Associate Attorney. The ideal candidate will have substantial experience in drafting and negotiating licensing and technology agreements, advising on intellectual property issues, and supporting M&A and financing transactions. The role also involves handling complex commercial transactions related to technology procurement, enterprise software, cloud services, payment systems, technology distribution arrangements, consulting and professional services, and the management of intellectual property assets. Experience with legal issues relating to the Internet, open source software, data privacy and security, and emerging technologies such as blockchain and artificial intelligence is preferred. Candidates with large law firm experience are strongly preferred.

Duties:

  • Draft and negotiate licensing and technology agreements.
  • Advise clients on intellectual property issues.
  • Support M&A and financing transactions.
  • Handle complex commercial transactions involving technology procurement, enterprise software, cloud services, payment systems, technology distribution arrangements, consulting and professional services, and the management of intellectual property assets.
  • Stay updated on legal issues relating to the Internet, open source software, data privacy and security, and emerging technologies such as blockchain and artificial intelligence.
  • Collaborate with other attorneys and legal staff on various projects.
  • Provide strategic legal advice to clients on technology transactions.
  • Develop and maintain client relationships.

Requirements:

  • 6-7 years of experience in technology transactions.
  • Experience in drafting and negotiating licensing and technology agreements.
  • Experience advising on intellectual property issues.
  • Experience supporting M&A and financing transactions.
  • Familiarity with legal issues relating to the Internet, open source software, data privacy and security, and emerging technologies such as blockchain and artificial intelligence.
  • Large law firm experience strongly preferred.
  • Strong analytical and problem-solving skills.
  • Excellent written and verbal communication skills.
  • Ability to manage multiple projects and meet deadlines.
  • Strong attention to detail.

Education and Certifications:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the state bar.
