Job Overview:
A law firm seeks a mid-level associate to join its expanding Technology Transactions and Licensing practice. This role offers the opportunity to work with a wide range of leading technology, digital media, and life sciences clients. The position is available in multiple locations, including California (San Francisco, Santa Monica, Silicon Valley), New York, and Washington, D.C. The ideal candidate will have at least 3 years of experience in technology transactions and licensing and will play a pivotal role in supporting a growing and dynamic practice.

Duties:

  • Provide legal counsel on technology-related transactions, including IP licensing, commercial agreements, and digital media.
  • Advise clients on the technology components of mergers, acquisitions, and other corporate transactions.
  • Draft, review, and negotiate complex contracts related to technology licensing and content distribution.
  • Collaborate closely with other practice groups, including corporate, intellectual property, and litigation teams.
  • Work with clients in various industries such as technology, life sciences, and digital media, both domestically and internationally.
  • Support cross-border deals and assist with managing legal risks in complex technology transactions.

Requirements:

  • A minimum of 3 years of experience in technology transactions, including licensing and M&A.
  • Strong understanding of intellectual property and digital media law.
  • Experience with the technology aspects of corporate transactions, including M&A.
  • In-house experience is welcomed, provided the candidate has previous law firm experience.
  • Exceptional written and verbal communication skills.
  • Strong academic credentials with the ability to work well under pressure.
  • Ability to manage multiple projects and deadlines in a fast-paced environment.
  • Candidates must be licensed in the jurisdiction they are applying for or eligible to take the next bar exam in that jurisdiction.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Must be licensed to practice law in the state of application or eligible to sit for the next bar exam.

Skills:

  • Expertise in commercial transactions, intellectual property licensing, and digital media agreements.
  • Proficiency in drafting and negotiating complex legal documents.
  • Strong business acumen and an understanding of technology law and corporate transactions.
  • Excellent interpersonal and client management skills.
  • Ability to work collaboratively across multiple offices and teams.
