Job Overview:
A leading law firm is seeking a mid-level associate to join its Private Equity Group in Palo Alto. The ideal candidate should have at least four years of experience advising private equity firms and their portfolio companies in complex transactions, including mergers and acquisitions, leveraged buyouts, equity investments, and general corporate matters. Duties:

  • Advise private equity firms and portfolio companies on a variety of complex transactions, including mergers and acquisitions, leveraged buyouts, equity investments, and general corporate matters
  • Draft, review, and negotiate transaction documents
  • Lead due diligence efforts and manage transaction closings
  • Provide strategic legal counsel to clients regarding business operations and growth strategies
  • Collaborate with senior attorneys and cross-functional teams to manage projects
  • Conduct legal research and provide insight into relevant legal issues
  • Communicate effectively with clients, opposing counsel, and other stakeholders
  • Manage client relationships and deliver high-quality work products

Requirements:

  • Minimum of 4 years of experience in private equity transactions, with a strong understanding of mergers, acquisitions, leveraged buyouts, and equity investments
  • Experience at a top-tier law firm or SEC experience is preferred
  • Excellent organizational and time-management skills
  • Ability to work collaboratively and independently
  • Proven ability to manage multiple projects and meet tight deadlines
  • Strong oral and written communication skills
  • Ability to think strategically and apply business judgment to legal matters

Education:

  • J.D. from an accredited law school

Certifications:

  • Admitted to practice in California
