A law firm in Newport Beach, CA is seeking an experienced Business and Corporate Transactional Attorney. The ideal candidate will have a strong background in corporate and business transactions, including entity formation, compliance, mergers and acquisitions, real estate transactions, and document preparation. This position requires excellent analytical, drafting, and communication skills, along with a proactive and organized approach to managing tasks and time efficiently.

Duties and Responsibilities

  • Incorporation of new entities, including corporations, LLCs, and limited partnerships, in California, Delaware, and other states.
  • Corporate and LLC compliance, including preparation of annual meeting minutes, consents, and resolutions.
  • Handling Secretary of State filings, including corporate filings, LLC filings, UCC filings, and related business and corporate filings.
  • Managing mergers and acquisition transactions, including due diligence, disclosure schedules, closings, and related tasks.
  • Preparing business and corporate transaction documents such as contracts, leases, buy-sell agreements, operating agreements, and related documents.
  • Preparing real estate documents, including grant deeds and quitclaim deeds.
  • Familiarity with AIRCRE forms, including purchase and sale agreements, lease agreements, and related agreements and addendums.
  • Efficient and accurate tracking and billing of time.
  • Excellent verbal and written communication skills.
  • Willingness and ability to learn and perform new tasks.
  • Excellent interpersonal skills, with the ability to work well with clients, attorneys, courts, and vendors at all levels of the organization.
  • Strong analytical, drafting, and proofreading skills.
  • Attention to detail.
  • Ability to manage time efficiently with minimal supervision.
  • Experience with LexisNexis.
  • Proficiency in MS Office, including Excel, Word, PowerPoint, and Adobe.
  • Experience with contact management and billing systems such as Time Matters and Time Slips.

Requirements

  • CA State Bar license required.
  • Minimum of 5+ years of full-time private practice or law firm experience.
  • Strong background in business and corporate transactions, including entity formation, compliance, mergers and acquisitions, and document preparation.

Education and Certifications

  • Juris Doctor (JD) degree from an accredited law school.
  • Active membership in the California State Bar.

  • Proficient in MS Office Suite (Excel, Word, PowerPoint, Adobe).
