A law firm in Houston is seeking a talented Healthcare Transactional Associate Attorney with 4-6 years of experience to join its growing healthcare practice. The ideal candidate will have a strong interest in building a practice around healthcare transactional work, with a focus on private equity transactions. Prior experience in a sophisticated law firm environment is preferred. Duties and Responsibilities:

  • Assist in managing healthcare transactional matters, including mergers, acquisitions, joint ventures, and private equity transactions.
  • Draft, review, and negotiate transactional documents such as purchase agreements, shareholder agreements, and partnership agreements.
  • Conduct due diligence in connection with healthcare transactions, identifying risks and regulatory issues.
  • Advise healthcare clients on corporate governance, compliance, and regulatory matters related to transactions.
  • Collaborate with senior attorneys and cross-disciplinary teams to provide comprehensive legal support to healthcare clients.
  • Monitor and interpret developments in healthcare regulations, such as Stark Law, Anti-Kickback Statute, and HIPAA, and their impact on transactional matters.
  • Provide legal support in the formation and structuring of healthcare entities.
  • Participate in client meetings and help develop innovative solutions to complex legal and business challenges.
  • Assist in business development activities, including client outreach and networking within the healthcare industry.

Requirements:

  • 4-6 years of transactional experience, with a strong focus on healthcare and private equity transactions.
  • Prior experience in a sophisticated law firm environment is preferred.
  • Familiarity with healthcare regulations, including Stark Law, Anti-Kickback Statute, HIPAA, and other related laws.
  • Ability to manage multiple healthcare transactions simultaneously and work effectively under pressure.
  • Strong client communication skills and ability to work collaboratively with other attorneys and clients.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Excellent academic credentials are required.

Certifications:

  • Admission to the Texas Bar or eligibility to waive into the Texas Bar is required.

Skills:

  • Strong drafting and negotiation skills for transactional documents.
  • Excellent legal research and writing abilities.
  • Solid understanding of healthcare regulations and compliance issues.
