A law firm in Morristown is seeking a Corporate Transactional Attorney with 4+ years of experience in handling general corporate and commercial real estate matters. The role involves managing corporate mergers and acquisitions, drafting and negotiating large contracts, license agreements, technology licensing/sales agreements, and handling transactions for the acquisition, sale, leasing, and financing of commercial and industrial properties.

Responsibilities:

  • Manage and oversee corporate mergers and acquisitions (M&A) transactions.
  • Draft, review, and negotiate a variety of commercial contracts, including large contracts, license agreements, and technology licensing/sales agreements.
  • Handle transactional matters related to the purchase, sale, leasing, and financing of commercial and industrial properties.
  • Provide legal counsel and strategic advice to corporate clients on business transactions and corporate governance matters.
  • Conduct due diligence investigations and prepare related reports for transactions.
  • Ensure compliance with applicable laws and regulations in all transactions and agreements.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the state Bar and in good standing.
  • 4+ years of experience in corporate transactional law, including mergers and acquisitions, commercial contracts, and real estate transactions.
  • Strong understanding of corporate governance principles and commercial law.
  • Excellent drafting and negotiation skills with attention to detail.
  • Ability to work independently and manage complex transactions effectively.

Education and Certifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the state Bar and in good standing.
