Job Title: Transactions Associate

Job Overview: A prominent law firm is seeking an experienced Transactions Associate to join their Transactions Practice Group. This position involves a broad scope of responsibilities, including emerging companies and venture capital (ECVC) financing, mergers and acquisitions (M&A), private equity, and general corporate counseling. The role offers an opportunity to develop professionally in a collaborative, growth-oriented environment.

Location:

  • New York, NY

Duties:

  • Handle various types of corporate transactions, including ECVC financing, M&A, private equity, and general corporate advisory work.
  • Provide comprehensive legal counsel to publicly and privately held companies, private equity funds, investors, and entrepreneurs.
  • Prepare and manage sophisticated transactional documents and oversee projects from start to completion.
  • Support and advise clients on mergers, acquisitions, dispositions, joint ventures, and other commercial transactions.
  • Interact directly with clients and senior partners to foster strong client relationships and effective communication.

Requirements:

  • 2-5 years of corporate law experience, with an emphasis on venture capital, early-stage financings, mergers, acquisitions, and related transactions.
  • Strong document drafting skills and experience in managing complex projects.
  • Exceptional interpersonal, writing, and communication abilities.
  • A proactive work ethic and ability to work well in a collaborative, high-energy team environment.

Education:

  • Juris Doctor (JD) from an ABA-accredited law school.

Certifications:

  • Active Bar membership in the relevant jurisdiction(s) or eligibility for timely admission in alignment with the office location.

Skills:

  • Advanced expertise in corporate and transactional law, including venture capital and M&A.
  • Strong document drafting and project management skills.
  • Excellent interpersonal and client-facing communication capabilities.
  • Ability to work efficiently in a collaborative and growth-oriented environment.
