Associate Attorney for Troy office

A law firm in Troy, MI, is seeking a versatile Associate Attorney with 3-6 years of experience in corporate and/or tax transactional matters, preferably with a background in advising or working with non-profit organizations. The ideal candidate will have a strong interest in the non-profit sector and will be responsible for handling a diverse range of tasks, including drafting organizational documents, advising on corporate governance, negotiating contracts, reviewing mission-related investments, and providing legal research and advice on tax compliance.

Duties:

• Draft organizational documents, including articles of incorporation, bylaws, and policies for non-profit entities
• Provide legal counsel on corporate governance matters and ensure compliance with regulatory requirements
• Negotiate and draft contracts, agreements, and other legal documents on behalf of clients
• Review and analyze mission-related investments and financial transactions
• Conduct legal research and guide on tax implications and compliance issues
• Assist non-profit clients with IRS filings and regulatory compliance matters
• Handle various corporate and tax transactional matters, such as mergers, acquisitions, and joint ventures
• Maintain accurate documentation and records of legal transactions and client communications
• Collaborate effectively with senior attorneys and support staff to manage cases and meet client objectives

Requirements:

• 3-6 years of experience practicing corporate and/or tax transactional law
• Experience working with or advising non-profit organizations preferred
• Strong passion for and understanding of the non-profit sector

Education:

• Juris Doctor (JD) from an accredited law school

Certifications:

• Admission to the State Bar of Michigan
