A law firm is seeking a highly experienced Mid-to-Senior Tax-Exempt Organizations and Philanthropy Associate Attorney to join its team in East Palo Alto, CA. The ideal candidate will possess significant expertise in advising private foundations and charitable organizations on complex legal and tax matters. The position involves providing strategic counsel on a range of issues related to tax-exempt organizations, philanthropic efforts, and nonprofit governance. The successful candidate will work closely with clients, including large 501(c)(3) organizations, philanthropists, and private foundations, guiding them through complex legal structures and compliance obligations.

Key Responsibilities

  • Advise private foundations and charitable organizations on legal, tax, and compliance matters.
  • Form and obtain tax-exempt status for nonprofit corporations and charitable trusts.
  • Counsel private foundations on grant agreements, tax compliance, and succession planning.
  • Guide philanthropists on charitable giving strategies, including the use of donor-advised funds.
  • Advise large 501(c)(3) organizations on corporate governance, tax exemption issues, and unrelated business taxable income (UBTI).
  • Structure mergers, affiliations, and joint ventures between nonprofit organizations.
  • Counsel clients on complex legal structures involving both for-profit and not-for-profit entities.
  • Represent tax-exempt organizations in federal and state audits concerning tax and charitable compliance.
  • Provide strategic legal counsel on philanthropic and nonprofit transactions and regulatory compliance.

Requirements

  • Experience: Experience specifically in tax-exempt organizations, nonprofit law, and philanthropy.
  • Expertise: Deep knowledge and hands-on experience in advising private foundations, charitable organizations, and large 501(c)(3) entities.
  • Skills:
    • Strong understanding of tax law applicable to nonprofits and philanthropic organizations.
    • Proven ability to handle complex corporate structures and tax-exempt transactions.
    • Experience with federal and state audits concerning tax and charitable issues.
  • Education:
    • J.D. from an accredited law school.
    • Membership in the State Bar of California, or ability to waive in.
