A law firm in Los Angeles, CA, is seeking a Mid-level to Senior Corporate - Fund Formation Lawyer with extensive experience in the formation and administration of private investment funds. The ideal candidate will have a strong background in corporate law, particularly in advising fund managers on structuring, regulatory compliance, and market practices.

 

Duties and Responsibilities:

  • Provide expert legal counsel to emerging and established fund managers on all aspects of private investment fund formation, including structuring, documentation, and regulatory compliance.
  • Draft and negotiate fund formation documents, including limited partnership agreements, subscription agreements, and private placement memoranda.
  • Conduct due diligence and risk assessments related to fund formation projects.
  • Navigate regulatory requirements, including compliance with the Investment Advisers Act of 1940 and other federal securities statutes.
  • Advise clients on fund governance, operational matters, and investor relations.
  • Collaborate with internal teams and external stakeholders to develop and execute legal strategies that align with client objectives.

 

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active membership in good standing with the California State Bar or eligibility for admission by waiver.
  • 5-7 years of comprehensive experience practicing law, with a focus on corporate law and private investment fund formation.
  • Strong understanding of the Investment Advisers Act of 1940 and federal securities laws.
  • Exceptional academic credentials and demonstrated proficiency in legal research, writing, and analytical skills.
  • Proven ability to manage complex legal matters and multiple priorities in a fast-paced environment.
  • Excellent organizational skills, meticulous attention to detail, and effective communication abilities.

 

Preferred Skills:

  • Prior experience within the Securities and Exchange Commission (SEC) or other regulatory bodies.
  • Familiarity with emerging trends and best practices in private investment fund structures and strategies.
  • Ability to work collaboratively in a team-oriented environment and provide mentorship to junior attorneys.
