Duties and Responsibilities:

  • Provide legal counsel and representation on a broad range of corporate matters, including mergers and acquisitions, fund formation, finance, and securities transactions.
  • Draft, review, and negotiate complex legal documents such as contracts, agreements, and transactional paperwork.
  • Conduct thorough legal research and analysis to support client transactions and strategic decisions.
  • Oversee and manage the due diligence process, ensuring compliance with relevant regulatory and legal requirements.
  • Collaborate closely with clients to understand their business goals and offer tailored legal solutions.
  • Represent clients in negotiations with regulatory bodies, financial institutions, and other stakeholders.
  • Stay updated on changes in corporate, securities, and finance law to provide timely and accurate legal advice.
  • Mentor and guide junior attorneys and support staff as necessary.

Requirements:

  • Applicable Bar admission required.
  • At least 4 years of experience in corporate law, mergers and acquisitions, fund formation, finance, and/or securities.
  • Strong academic credentials from an accredited law school.
  • Proven experience in handling complex legal transactions and providing strategic legal counsel.
  • Excellent oral and written communication skills.
  • Ability to work effectively both independently and collaboratively in a fast-paced environment.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the Bar in New York State.
