The role will involve representing both debtors and creditors in large, complex Chapter 11 cases and out-of-court restructurings. Job Responsibilities:

  • Represent debtors and creditors in Chapter 11 bankruptcy cases, including handling a wide range of restructuring transactions.
  • Provide legal advice on out-of-court restructurings, helping clients navigate the complexities of financial distress and negotiations with creditors.
  • Collaborate with senior attorneys and clients to structure and negotiate complex restructuring agreements, including those involving secured and unsecured creditors, debtors-in-possession financing, and exit financing.
  • Conduct due diligence on restructuring matters, identifying key risks and opportunities for both debtors and creditors.
  • Draft and review legal documents, including restructuring agreements, creditor agreements, bankruptcy filings, and court motions.
  • Manage relationships with clients and offer strategic advice to stakeholders, including investors, on the legal aspects of financial restructurings.
  • Guide on corporate finance issues within the context of bankruptcy and restructuring, ensuring compliance with relevant legal standards and regulations.
  • Represent clients in court proceedings related to Chapter 11 cases, including hearings, negotiations, and litigation when necessary.
  • Stay updated on relevant laws, regulations, and case law developments about bankruptcy, restructuring, and corporate finance.

Requirements:

  • 2-5 years of experience at a peer law firm, representing debtors and creditors in large, complex Chapter 11 cases and out-of-court restructurings.
  • Experience with the legal issues faced by investors in the context of complex financial restructurings.
  • Strong understanding of corporate finance principles and their application in restructuring and bankruptcy contexts.
  • Excellent oral and written communication skills, with the ability to articulate legal arguments clearly and persuasively.
  • Strong organizational skills, with the ability to manage multiple matters simultaneously in a fast-paced legal environment.
  • Demonstrated ability to work both independently and collaboratively within a team structure.
  • Time management and project management skills, ensuring that deadlines are met and deliverables are completed accurately.
  • Ability to adapt to changing legal landscapes and client needs within the field of bankruptcy and restructuring.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the New York State Bar or eligibility for admission.

Certifications (Preferred):
