Job Overview:
A leading law firm is seeking a highly skilled and motivated Debt Covenant Review Attorney to join its Restructuring & Special Situations (R&SS) practice. The role will involve conducting detailed reviews and analyses of capital structures and credit agreements for companies undergoing liability management or restructuring exercises. This position requires strong expertise in leveraged finance, capital markets, and restructuring, with a focus on developing creative solutions and investment opportunities. The ideal candidate will have significant experience and the ability to work closely with partners across various practice groups to support pitch processes and client strategies.

Duties:

  • Review and analyze capital structures and credit agreements for companies requiring liability management or restructuring.
  • Prepare comprehensive reports summarizing key terms of debt agreements and potential financial strategies.
  • Identify opportunities for creative liability management structures based on detailed documentation review.
  • Collaborate with partners in the R&SS, Banking, and Capital Markets practices to refine and develop transaction structures.
  • Present findings and strategic recommendations to global clients, including investors and corporate stakeholders.
  • Stay informed about market trends and contribute ideas for developing business strategies.
  • Maintain confidentiality of sensitive, privileged, and proprietary financial information.

Requirements:

  • At least 4 years of experience practicing law, specifically in the areas of restructuring, leveraged finance, and/or capital markets.
  • Demonstrated expertise in leveraged finance, including familiarity with incurrence-based covenants across loan and high-yield products.
  • Solid understanding of capital markets, including hybrid capital products like convertible bonds.
  • Extensive knowledge of finance and restructuring industries, with a focus on cross-border transactions and complex loan/fund structures.
  • Ability to collaborate effectively across multiple legal practices.

Education:

  • JD or equivalent law degree required.

Certifications:

  • Admission to the CA Bar.

Skills:

  • Advanced knowledge of debt covenant structures, restructuring processes, and capital markets.
  • Excellent communication and presentation skills.
  • Strong analytical abilities, with attention to detail in legal and financial documentation.
  • Ability to work in a fast-paced, high-pressure environment.
