Job Overview:
A prestigious law firm is seeking a Midlevel Corporate Associate with experience in Emerging Companies (EC) and Venture Capital (VC) to join its Southern California offices. The ideal candidate will have significant experience advising clients in corporate and transactional matters, including venture capital financing, mergers and acquisitions, and corporate governance. This is a great opportunity to work closely with emerging companies and investors on high-impact transactions while being part of a dynamic team.

Location:

  • Los Angeles, CA

Duties:

  • Advise emerging companies and venture capital investors on a wide range of corporate and transactional matters
  • Draft and negotiate venture capital financing documents, such as term sheets, convertible notes, and NVCA-related financing documents
  • Provide guidance on corporate governance issues, including board and shareholder matters
  • Support clients in mergers and acquisitions, joint ventures, and other strategic transactions
  • Conduct due diligence and assist with transactional closings
  • Serve as outside corporate counsel to early-stage and late-stage private companies
  • Manage internal and external client relationships, as well as relationships with outside counsel

Requirements:

  • Juris Doctor (JD) from an accredited law school
  • Admission to the California Bar
  • 4-6 years of experience in a reputable law firm or in-house legal department
  • Strong background in corporate law with significant experience in emerging companies and venture capital transactions
  • Excellent drafting, negotiation, and communication skills
  • Ability to work independently and collaboratively in a fast-paced, dynamic environment
  • Entrepreneurial mindset and a team player attitude
  • Strong academic credentials

Education:

  • Juris Doctor (JD) from an accredited law school

Certifications:

  • Admission to the California Bar

Skills:

  • Expertise in venture capital financing, mergers and acquisitions, and corporate governance
  • Proficient in drafting and negotiating venture capital financing documents, term sheets, and related agreements
