A law firm seeks a highly experienced Of Counsel attorney specializing in franchise and distribution law to join its transactional practice. This position involves drafting franchise agreements, handling regulatory filings, and providing expert guidance on complex transactions for a diverse client base. Ideal candidates bring a solid background in U.S. franchise law, with additional expertise in international franchising and mergers & acquisitions as a bonus. Flexibility is offered, allowing candidates to work either from Palo Alto, CA, or remotely.

Duties

  • Draft, review, and manage franchise agreements, disclosure documents, and necessary regulatory filings.
  • Offer guidance on intricate franchise and distribution matters, ensuring compliance with U.S. franchising regulations.
  • Provide counsel on international franchise transactions and M&A activities as applicable.
  • Advise a range of clients, including private equity firms, new franchisors, and established brands, on franchising matters.
  • Collaborate with foreign companies seeking U.S. market entry, ensuring regulatory compliance.

Requirements

  • Minimum of 8 years of experience in transactional franchise law, particularly with U.S. franchising regulations.
  • Active admission to the California State Bar or eligibility for admission by waiver.
  • Proven expertise in drafting franchise agreements and handling regulatory filings.
  • Strong analytical skills and the ability to offer strategic guidance to clients.
  • Demonstrated capability to work independently and as part of a collaborative team.

Education

  • Juris Doctor (J.D.) from an accredited law school.

Certifications

  • Active membership in good standing with the California State Bar or eligibility for admission by waiver.
