Duties:

  • Securities Offerings: Assist in public and private securities offerings, including compliance with SEC regulations and stock exchange rules.
  • Corporate Governance: Advise clients on corporate governance matters, including compliance with NYSE and Nasdaq requirements.
  • Regulatory Compliance: Manage Exchange Act reporting and compliance, ensuring adherence to relevant regulations.
  • Client Interaction: Work closely with clients in the capital markets sector, providing legal guidance on a range of corporate matters.
  • Collaboration and Mentorship: Collaborate with senior lawyers, contributing to team efforts and receiving guidance in managing more complex matters.
  • Independent Work: Take initiative in managing matters independently, while also contributing to a team environment.

Requirements:

  • 3 to 5 years of experience in corporate law, with a focus on public company securities offerings and regulatory compliance.
  • Strong understanding of corporate governance, Exchange Act reporting, and NYSE/Nasdaq compliance.
  • Ability to manage multiple high-profile client matters in a fast-paced environment.
  • Excellent written and verbal communication skills.
  • Self-starter with the ability to work both independently and as part of a team.
  • Strong academic credentials from a recognized law school.

Education:

  • Juris Doctor (J.D.) from an accredited law school.
