Job Title: Senior Project Finance Associate Attorney

Job Overview:
A prominent law firm in New York City is looking for an experienced Senior Project Finance Associate to join their Financial Services team. This role offers an exciting opportunity for candidates with strong project finance expertise, particularly in tax equity bridge loans, back leverage financings, and pre-NTP financings. The ideal candidate will have comprehensive experience in both lender- and borrower-side transactions and will be comfortable managing complex project finance structures, including drafting and negotiating agreements and conducting due diligence on project documents. Duties:

  • Draft and negotiate a variety of project finance documents including credit agreements, letters of credit, performance bonds, and payment bonds.
  • Conduct bankability analysis of project documentation.
  • Negotiate and manage engineering, procurement, and construction contracts, balance of plant agreements, and various supply agreements (e.g., turbine, inverter, and module supply agreements).
  • Oversee the negotiation of off-take and tolling agreements.
  • Independently handle security documents such as security agreements, pledge agreements, and financing statements.
  • Manage the preparation of NY-law legal opinions, direct agreements, and consents to collateral assignments.
  • Lead legal due diligence for project finance transactions.
  • Collaborate with clients, stakeholders, and internal teams to ensure smooth execution of complex financial deals.

Requirements:

  • 4-6 years of experience in project finance, with a focus on lender- and borrower-side transactions.
  • Expertise in drafting project finance credit agreements, security documents, legal opinions, and project-related contracts.
  • Familiarity with negotiating and structuring tax equity bridge loans and back leverage financings.
  • Strong ability to conduct due diligence on complex project documents, including EPC contracts, off-take agreements, and supply agreements.
  • Ability to independently manage projects and negotiate terms effectively.
  • Strong communication skills with the ability to collaborate in a fast-paced environment.

Education:

  • J.D. from an accredited law school.

Certifications:

  • Licensed to practice law in New York or willing to become licensed in New York.

Skills:

  • Exceptional drafting, negotiation, and analytical skills.
  • Strong understanding of project finance structures and documentation.
  • Ability to handle multiple projects with competing deadlines.
  • Entrepreneurial mindset and team-oriented approach.
