A law firm seeks an experienced Franchise Of Counsel to join its Franchise & Distribution team. This role involves transactional work with a primary focus on U.S. regulatory franchising matters, providing counsel on franchise compliance, and managing franchise-related agreements. The position allows for flexibility with either remote work or office-based placement in Houston, TX.

Duties

  • Prepare and review franchise agreements, disclosure documents, and necessary regulatory filings.
  • Advise clients on complex franchise transactions, including mergers, acquisitions, and restructuring.
  • Counsel clients on compliance with U.S. and international franchise regulations, supporting both domestic and international operations.
  • Represent a variety of clients, including private equity firms, emerging franchisors, and established franchise brands.
  • Collaborate within the team to offer strategic, business-oriented advice to clients.

Requirements

  • Minimum of 8 years of experience in transactional franchise law, with strong regulatory expertise.
  • Active State Bar admission in Texas or eligibility for admission via waiver.
  • Demonstrated ability to draft comprehensive franchise agreements and manage regulatory filings.
  • Strong analytical skills with the capability to offer practical, solution-driven guidance.
  • Comfortable working independently and collaboratively within a team environment.

Education

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications

  • Admission to the Texas State Bar or eligibility for admission via waiver.

Skills

  • Proficiency in drafting franchise agreements, regulatory filings, and franchise disclosure documents.
  • Strong analytical, organizational, and client advisory skills.
  • Excellent communication, both written and verbal.
  • Ability to prioritize and manage multiple client engagements effectively.
