The attorney will provide guidance on issues such as tax exemption, governance, charitable gifts, and compliance, while also representing clients in audits and structuring joint ventures. Key Responsibilities:

  • Advise private foundations and charitable organizations on complex legal and tax issues.
  • Assist in the formation and obtaining tax exemptions for nonprofit corporations and charitable trusts.
  • Provide counsel to private foundations on grant agreements, tax compliance, and succession planning.
  • Advise philanthropists on making charitable gifts, including the use of donor-advised funds.
  • Offer guidance to large 501(c)(3) organizations on corporate governance, tax exemption issues, and unrelated business taxable income (UBTI).
  • Structure mergers, affiliations, and joint ventures between nonprofit organizations.
  • Advise on and manage complex structures involving both for-profit and not-for-profit entities.
  • Represent tax-exempt organizations during federal and state audits regarding tax and charitable issues.

Education and Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active Bar admission in the state of Minnesota or eligibility to waive in.
  • Experience working with tax-exempt organizations and philanthropists.
  • Significant experience advising private foundations and charitable organizations.
  • Knowledge of tax compliance, nonprofit governance, and federal and state laws about tax-exempt entities.
  • Experience with complex mergers, joint ventures, and corporate structuring for nonprofits.

Skills and Certifications:

  • Deep understanding of the Internal Revenue Code sections related to tax-exempt organizations, particularly 501(c)(3).
  • Expertise in tax compliance and the rules governing private foundations.
  • Strong analytical and problem-solving skills.
  • Excellent written and verbal communication skills.
  • Ability to manage complex transactions and advise on nonprofit corporate governance.
  • Strong client-relations skills with a focus on providing tailored legal advice.
