Job Overview:
A prominent law firm is seeking a mid-level corporate associate to join its team in San Diego. This position will focus on public company reporting and compliance, corporate governance, and capital markets. The ideal candidate will have hands-on experience working with public companies and possess a solid understanding of securities law, including regulations such as the Securities Act of 1933, the Securities Exchange Act of 1934, and the Nasdaq/NYSE listing and governance requirements.

Location:

  • San Diego, CA

Duties:

  • Advise clients on public company reporting, compliance, and governance.
  • Prepare and review Section 13 and Section 16 filings.
  • Assist with corporate governance matters, including proxy statements and periodic reporting.
  • Support capital markets transactions such as IPOs, follow-on offerings, and private placements.
  • Collaborate with public companies to ensure regulatory compliance and timely filings.
  • Provide strategic legal advice regarding securities law and corporate governance.

Requirements:

  • Minimum of 3 years of capital markets experience.
  • Experience with large cap and mid-cap public companies, including periodic reporting and regulatory filings.
  • Knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934, and Nasdaq/NYSE listing and governance requirements.
  • Prior experience at an AmLaw 100 law firm preferred.
  • Ability to manage multiple projects and meet deadlines in a fast-paced environment.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Licensed to practice law in the jurisdiction of the office location.

  • Sound business judgment with the ability to work independently and collaboratively.
  • Excellent oral and written communication skills.
