Duties:

  • Represent fund sponsors in the formation and structuring of investment funds, including private equity, venture capital, and hedge funds.
  • Advise clients on regulatory compliance, fund operations, and fund governance matters.
  • Draft and negotiate fund formation documents, including limited partnership agreements, subscription agreements, and management agreements.
  • Provide legal guidance on fund-related transactions, including investments, exits, and fundraising.
  • Conduct legal research and analysis to support fund formation and operation.
  • Work closely with clients to understand their business needs and provide tailored legal solutions.
  • Collaborate with other attorneys and professionals within the firm to address complex legal issues.
  • Maintain up-to-date knowledge of industry trends, regulatory changes, and market developments affecting investment funds.
  • Manage multiple client matters efficiently and effectively, meeting deadlines and client expectations.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admitted to practice law in the state of Illinois.
  • 2-6 years of corporate experience at a leading national or international law firm, with a focus on investment funds.
  • Demonstrated experience representing fund sponsors and advising on fund formation and structuring.
  • Strong understanding of relevant regulations and industry practices related to investment funds.
  • Excellent drafting, negotiation, and communication skills.
  • Ability to manage multiple projects and priorities effectively.
  • Outstanding academic credentials and professional qualifications.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Licensed to practice law in Illinois.

Skills:

  • Expertise in investment funds formation, structuring, and operation.
  • Strong legal research and analytical skills.
  • Proficiency in drafting and negotiating complex fund-related documents.
