Duties:

  • Advise nonprofit organizations on the formation process, 501(c)(3) applications, and ongoing compliance with federal and state regulations.
  • Structure and negotiate business transactions, including mergers, joint ventures, and strategic partnerships, specifically in the nonprofit sector.
  • Draft and review essential corporate governance documents, such as bylaws, board policies, and conflict of interest procedures.
  • Counsel nonprofit boards of directors on fiduciary duties and best practices for effective governance.
  • Ensure compliance with state charitable registration and reporting requirements.
  • Handle ongoing corporate governance matters and provide general legal advice to nonprofit clients.

Requirements:

  • Minimum of 2 years of experience in nonprofit corporate law, with a strong understanding of the legal challenges and opportunities within the nonprofit sector.
  • Active membership in the California State Bar.
  • Experience with nonprofit formation, governance, and compliance matters.
  • Strong analytical, communication, and problem-solving skills.
  • Ability to handle complex legal issues in a collaborative environment.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Active membership in the California State Bar is required.

Skills:

  • Expertise in nonprofit law and corporate governance.
  • Strong negotiation and drafting skills for business transactions.
  • Familiarity with compliance requirements for 501(c)(3) organizations.
  • Ability to provide sound legal counsel to boards of directors and executive leadership.
  • Strong organizational skills with the ability to manage multiple projects simultaneously.
  • Excellent written and verbal communication skills.
