Job Overview:

A prominent law firm is seeking a Counsel-level finance attorney to join its Finance & Restructuring practice group. This position requires a candidate with at least seven years of transactional experience, specifically working with financial institutions and corporate trust clients. The role involves advising on and managing a variety of corporate trust transactions, such as structured finance, municipal debt, and corporate debt issuances, as well as drafting and negotiating complex agreements. The ideal candidate will possess strong writing, negotiation, and client management skills and be capable of working independently while managing a collaborative team.

Location:

  • Washington, DC

Duties:

  • Represent financial institutions and corporate trust clients on various corporate trust transactions, including structured finance (RMBS, CMBS, ABS), municipal debt, and corporate debt issuances.
  • Draft, negotiate, and review complex transactional agreements, such as trust indentures, loan agreements, account control agreements, and SaaS agreements.
  • Provide strategic advice to clients regarding claims management and disputes in structured finance and corporate debt matters.
  • Collaborate with and manage junior lawyers and paralegals, overseeing multiple transactions with minimal supervision.
  • Maintain and build strong client relationships through excellent service and proactive communication.
  • Work on a diverse range of matters, including negotiation of pooling and servicing agreements, custodial agreements, and software license agreements.

Requirements:

  • Minimum of 7 years of transactional experience in finance law, specifically in corporate trust, structured finance, and debt issuance transactions.
  • Strong experience in reviewing, negotiating, and drafting various financial transactional agreements.
  • Proven ability to independently manage multiple assignments and deliver high-quality work.
  • Demonstrated leadership ability, including the management of junior lawyers and paralegals.
  • Excellent writing, communication, and negotiation skills.
  • Ability to work collaboratively within a team environment while handling independent responsibilities.
  • Superior client service skills with a focus on building lasting client relationships.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Active membership in the bar of the jurisdiction where the candidate will practice.

Skills:

  • Strong drafting and analytical skills.
  • In-depth knowledge of corporate trust transactions, structured finance, and debt issuances.
  • Exceptional client management and relationship-building skills.
