Job Overview:

A reputable law firm based in New York City is seeking a highly qualified Finance/Transactional Attorney. The ideal candidate will have extensive experience in commercial lending and finance transactions, including asset-based loans and secured transactions. This role will provide legal and transactional advice to clients, focusing on drafting and negotiating complex agreements. The successful candidate will also help navigate legal, regulatory, and commercial risks while advising on compliance policies and regulatory developments.

Duties:

• Draft, review, and negotiate all commercial lending and finance transaction agreements.
• Advise clients on documentation, transaction structuring, and negotiations.
• Identify and manage legal, regulatory, reputational, and operational risks.
• Draft and maintain form documentation for transactions and compliance policies.
• Provide advice on legal and regulatory developments that impact clients.
• Develop and implement legal and compliance policies and procedures.
• Engage with diverse points of view and resolve potential legal conflicts.

Requirements:

• A minimum of 10+ years of experience in a US law firm, focusing on leveraged finance, asset-based lending, project finance, corporate lending, and restructuring.
• Expertise in drafting and reviewing complex credit documentation and financing structures.
• Strong background in UCC, U.S. bankruptcy law, and secured transactions.
• Ability to communicate complex legal concepts in a commercially accessible manner.
• Flexibility to adapt to evolving business needs and transaction types.

Education:

• Juris Doctor (JD) from an accredited U.S. law school.
• An active member of the New York and New Jersey State Bars.

Certifications:

• Bar membership in New York and New Jersey.

Skills:

• Expertise in transactional law, particularly in complex financing arrangements.
