A law firm seeks an experienced and motivated Corporate/Mergers & Acquisitions Associate to join its team in Dallas, TX. This role offers an exciting opportunity to work primarily in the Mergers and Acquisitions practice group, while also engaging with various corporate matters such as corporate restructurings, strategic partnerships, fund formation, and private equity investments. The ideal candidate will bring 3-4 years of experience in real estate and corporate transactions, with strong analytical, writing, and communication skills, and the ability to work collaboratively in a fast-paced environment.

Duties:

  • Provide legal support on mergers and acquisitions, including conducting due diligence, drafting transactional documents, and negotiating deals.
  • Assist in corporate restructurings, strategic partnerships, fund formation, and private equity and venture capital investments.
  • Draft, review, and negotiate contracts, agreements, and other corporate documents.
  • Conduct legal research to support corporate transactions and investment matters.
  • Collaborate with senior attorneys to develop strategies and deliver legal solutions for clients.
  • Maintain strong client relationships by providing clear communication and efficient legal counsel.
  • Manage multiple transactions simultaneously while ensuring all deadlines are met.

Requirements:

  • Juris Doctor (J.D.) from an accredited law school.
  • 3-4 years of experience in corporate law, particularly mergers and acquisitions.
  • Strong drafting and negotiation skills, with attention to detail.
  • Familiarity with corporate finance, private equity, and venture capital investments is a plus.
  • Texas Bar admission or eligibility to become licensed in Texas.
  • Excellent organizational and time management skills, with the ability to manage multiple priorities.
  • Ability to work independently and as part of a team.

Education:

  • Juris Doctor (J.D.) from an accredited law school.

Certifications:

  • Admission to the Texas State Bar or the ability to become licensed in Texas.

Skills:

  • Strong understanding of corporate law, mergers, and acquisitions.
  • Exceptional written and verbal communication skills.
  • Ability to handle complex transactions and client matters.
  • Proficiency in legal research and the use of relevant tools such as LexisNexis or Westlaw.
