A law firm seeks an experienced Corporate Transactions Attorney to join a dynamic team in Charlottesville, Virginia. This attorney will play a pivotal role in advising clients on complex corporate matters, including mergers and acquisitions, private equity investments, corporate governance, and commercial agreements. The ideal candidate will have a robust background in corporate law and will be responsible for providing strategic legal guidance throughout various stages of business transactions, from initial structuring to post-closing integration.

Duties

  • Mergers & Acquisitions (M&A)

    • Lead or assist in structuring and executing M&A transactions, including asset and stock/share purchases, mergers, and related due diligence.
    • Draft transaction documents and manage regulatory filings required for M&A deals.
  • Private Equity Transactions

    • Advise on various private equity matters such as fund formation, buyouts, portfolio company investments, and exits.
    • Negotiate deal terms and partnership agreements on behalf of clients.
  • Corporate Governance

    • Provide counsel on corporate governance issues, including board and shareholder matters, executive compensation, and compliance with applicable corporate laws.
  • Securities Compliance

    • Advise on securities law matters, including private placements, public offerings, SEC filings, and ensuring compliance with securities regulations (Securities Act of 1933, Securities Exchange Act of 1934).
  • Contracts and Commercial Agreements

    • Draft, negotiate, and review a variety of commercial contracts such as joint ventures, licensing agreements, shareholder agreements, and employment contracts.
  • Legal Research and Analysis

    • Conduct in-depth research on emerging corporate law issues and regulatory changes, providing clear, actionable legal advice to clients.
  • Client Interaction

    • Build and maintain strong client relationships, ensuring that legal strategies are aligned with their business objectives.
    • Regularly communicate with clients to address their concerns and provide expert legal guidance.
  • Team Collaboration

    • Work closely with other attorneys and professionals to ensure seamless service across practice areas.
    • Supervise junior associates and paralegals as necessary, providing guidance and mentorship.
  • Transaction Management

    • Manage multiple transactions simultaneously, meeting deadlines and maintaining high-quality standards throughout the process.

Requirements

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the State Bar of Virginia.
  • Minimum of 3 years of experience in corporate law, particularly in M&A, private equity, securities, or related fields.
  • Demonstrated experience in managing corporate transactions and leading negotiations.
  • Knowledge of federal securities laws, Virginia corporate law, and regulatory frameworks.
  • Expertise in corporate governance and commercial contracts.
  • Excellent negotiation, drafting, and communication skills.
  • Strong client focus with the ability to work collaboratively to achieve legal and business goals.

Education

  • Juris Doctor (JD) from an accredited law school.
