A law firm in Tallahassee, FL, is seeking an experienced Energy Transition Transactional Associate Attorney to join their team. The ideal candidate will have extensive transactional experience in energy transition projects, with a focus on emerging technologies and traditional renewable energy sectors.

Duties and Responsibilities:

  • Represent clients in a variety of complex transactional and project development matters related to energy transition projects.
  • Advise on mergers and acquisitions, land purchase agreements, offtake agreements (including power purchase agreements), pore space leases, hydrogen purchase agreements, lithium extraction leases, joint venture agreements, partnership agreements, and LLC agreements.
  • Negotiate and draft project documents such as EPC contracts, BOP contracts, equipment supply agreements, procurement agreements, and O&M agreements.
  • Provide legal counsel to clients transitioning from traditional upstream and midstream oil and gas projects into the energy transition sector.
  • Conduct legal research, draft memoranda, and prepare legal opinions as required.
  • Manage project timelines and ensure compliance with legal and regulatory requirements.

Requirements:

  • Juris Doctor (JD) degree from an ABA-approved law school.
  • Admission to and active membership in the Bar of the jurisdiction(s) in which the candidate is located and in good standing.
  • 3-6 years of relevant experience in transactional law, preferably with a focus on energy transition projects.
  • Experience with hydrogen, carbon capture, renewable fuels, lithium extraction, and other energy transition areas.
  • Strong negotiation, drafting, and project management skills.

Education and Certifications:

  • JD from an ABA-approved law school.
  • Admission to and active membership in the Bar of the jurisdiction(s) in which the candidate practices law.

  • Proficiency in negotiating and drafting complex transactional documents.
  • Ability to work independently and collaboratively in a fast-paced environment.
  • Strong attention to detail and organizational skills.
