Job Overview:
A prominent law firm is seeking an experienced Corporate, Finance, and Securities Associate Attorney to join their growing team in Los Angeles. The ideal candidate will have a strong background in preparing primary transaction documents for high-level corporate transactions, including representing both buyers and sellers in equity financing deals. Experience in fund formation is a plus. This position offers an opportunity to contribute to sophisticated legal matters and work with an esteemed client base.

Duties:

  • Draft and review transaction documents for complex corporate and finance-related matters
  • Advise clients on equity financing transactions, mergers, acquisitions, and other corporate structures
  • Represent clients in negotiations, ensuring their interests are effectively protected
  • Collaborate with senior attorneys to manage high-profile transactions from inception to completion
  • Provide strategic legal advice regarding corporate governance, securities regulation, and compliance
  • Develop and maintain client relationships, offering guidance on legal and business matters
  • Conduct due diligence and prepare related documentation
  • Manage a high volume of work while maintaining attention to detail and meeting deadlines

Requirements:

  • 4-6 years of experience in corporate law, with a focus on finance and securities transactions
  • Solid understanding of corporate governance, securities law, and capital markets
  • Strong drafting and negotiation skills
  • Ability to handle complex transactions and interact with senior-level clients
  • Demonstrated ability to manage multiple projects in a fast-paced environment

Education:

  • Juris Doctor (JD) from an accredited law school

Certifications:

  • Active membership in the California State Bar

Skills:

  • Strong legal research, writing, and analytical skills
