Job Title: Complex Credit And Insurance Solutions Associate Attorney

Job Overview: A law firm in Philadelphia, PA is seeking a skilled associate attorney with 4-6 years of experience in complex credit fund formation and insurance solutions. The firm’s highly respected team provides legal counsel to global asset managers and sponsors in the creation and structuring of intricate credit private funds, structured credit funds, and captive CLO equity manager originator structures. This role also involves post-establishment compliance and distribution. The successful candidate will work alongside seasoned specialists in private funds and structured products, gaining invaluable experience and expanding their legal expertise in a dynamic and evolving market.

Duties:

  • Assist clients in the structuring and formation of complex credit private funds and structured credit funds, including rated note funds and captive CLO equity manager originator structures.
  • Support the fund formation process from launch to closure, overseeing all aspects of fundraises, investor negotiations, and subscription process management.
  • Draft, review, and negotiate critical fund documentation, such as private placement memoranda, fund agreements, subscription agreements, advisory agreements, placement agreements, legal opinions, and regulatory filings.
  • Coordinate and engage with clients, investors, and internal teams to ensure successful fund launches, including negotiating side letters and reviewing subscription documentation.
  • Stay current with regulatory developments impacting private funds, structured products, and CLOs, participating in industry trade group meetings and discussions.

Requirements:

  • 4-6 years of experience in private fund formation, structured credit, or CLOs.
  • Expertise in drafting and negotiating fund documents such as placement memoranda, fund agreements, and advisory agreements.
  • Proven ability to manage fundraisings from inception to completion, including interfacing with clients and investors.
  • Understanding of the Investment Advisers Act, federal securities laws, and exemptions to the Investment Company Act.
  • Large law firm experience is a must.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Admission to the state bar.

Skills:

  • Strong analytical and problem-solving abilities.
  • Excellent written and verbal communication skills.
  • Attention to detail and the ability to work under pressure in a fast-paced environment.
  • Knowledge of fund formation and securities regulations.
