Job Overview: A law firm is seeking a highly motivated and qualified Mergers and Acquisitions (M&A) and Private Equity Associate Attorney to join their team in Irvine, CA. The ideal candidate will have 3-4 years of experience in M&A and Private Equity within a major law firm. Duties and Responsibilities:

  • Assist in structuring, negotiating, and executing complex M&A and private equity transactions.
  • Conducted due diligence investigations and drafted due diligence reports.
  • Prepare and review transactional documents, including purchase agreements, merger agreements, and ancillary agreements.
  • Advise clients on legal issues related to mergers, acquisitions, divestitures, joint ventures, and private equity investments.
  • Collaborate with other practice groups within the firm, including tax, employment, and intellectual property, to ensure comprehensive client service.
  • Represent clients in negotiations and provide strategic legal advice throughout the transaction process.
  • Maintain up-to-date knowledge of legal developments in M&A and private equity.
  • Mentor and train junior associates and paralegals as needed.
  • Ensure compliance with applicable laws and regulations in all transactions.

Requirements:

  • 3-4 years of experience in M&A and private equity within a major law firm.
  • Strong understanding of corporate law and M&A transaction structures.
  • Proven ability to manage multiple projects and meet deadlines in a fast-paced environment.
  • Excellent academic credentials from a top-tier law school.
  • Exceptional verbal and written communication skills.
  • Superior analytical and problem-solving skills.
  • Highly motivated with a strong work ethic and attention to detail.
  • Demonstrated ability to work effectively both independently and as part of a team.
  • Membership to the California State Bar.

Education and Certifications:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active membership in the California State Bar.
