Job Overview: A law firm in New York City, NY, is seeking a talented and motivated Mergers and Acquisitions/Private Equity Associate Attorney with at least 2 years of relevant experience to join their dynamic team. The successful candidate will work closely with partners and clients on sophisticated M&A and private equity transactions.

Duties:

  • Conducted legal research and drafted memoranda on various corporate and securities law issues.
  • Assist in negotiating and drafting transactional documents, including merger agreements, stock purchase agreements, and shareholder agreements.
  • Manage due diligence investigations and prepare related reports for mergers, acquisitions, and private equity investments.
  • Review and analyze contracts, financial documents, and corporate governance matters.
  • Collaborate with clients and other professionals to facilitate smooth transaction closings.
  • Provide general corporate counseling and support to clients on ongoing business matters.

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the New York State Bar.
  • Minimum of 2 years of experience in mergers and acquisitions and private equity transactions at a reputable law firm.
  • Strong understanding of corporate governance, securities regulations, and contract law.
  • Excellent drafting, analytical, and communication skills.
  • Ability to work independently and as part of a team in a fast-paced environment.
  • Attention to detail and commitment to delivering high-quality work product.

Preferred Certifications:

  • Certification in Securities Law or Corporate Governance (optional).

Skills:

  • Proficiency in legal research tools and databases.
  • Advanced knowledge of Microsoft Office Suite (Word, Excel, Outlook).
  • Familiarity with document management and transaction management systems.
  • Ability to prioritize and manage multiple tasks efficiently.
